1. Company Information

These Terms of Use ("Terms") govern the use of the Zenda service provided by:

By using our services, you agree to these Terms.

2. Service Description

Zenda is a software platform that enables businesses to manage and send email communications.

We provide:

  • Software installation and configuration
  • System setup and deployment
  • Technical guidance and support (depending on plan)

3. Infrastructure & Hosting

Zenda is installed on infrastructure provided by the client or provisioned on behalf of the client.

  • The server is either:
    • Provided by the client, or
    • Set up by Nexum ehf. using a third-party provider (e.g. Hetzner)
  • After setup, full ownership and control of the server is transferred to the client
  • Nexum ehf. does not retain control over the infrastructure after delivery unless explicitly agreed

4. Pricing & Additional Costs

The subscription fee for Zenda includes software and related services only.

The following are not included:

  • Server/infrastructure costs
  • Email sending costs (e.g. Amazon SES or other providers)
  • Third-party service fees

The client is fully responsible for these costs.

5. Email Sending & Amazon SES

Zenda integrates with third-party email providers such as Amazon Web Services (SES).

Important:

  • The client is responsible for:
    • Creating and maintaining their SES account
    • Passing any required verification processes
    • Compliance with SES policies
  • Nexum ehf. does not guarantee approval by SES
  • Nexum ehf. is not responsible for:
    • SES account suspension or rejection
    • Delivery issues caused by SES
    • Email sending limitations imposed by SES

6. Client Responsibilities

The client agrees to:

  • Maintain a properly functioning website
  • Ensure their website contains:
    • Legal information (e.g. Terms, Privacy Policy)
    • Clear identification of the business
  • Use the system in compliance with applicable laws and regulations

The client is solely responsible for:

  • The content of emails sent
  • Compliance with anti-spam laws (e.g. GDPR, CAN-SPAM)

7. Acceptable Use

The client may not use Zenda for:

  • Spam or unsolicited bulk messaging
  • Illegal or fraudulent activities
  • Content that violates applicable laws

Nexum ehf. reserves the right to suspend service in case of abuse.

8. Liability

Zenda is provided "as is".

Nexum ehf. is not liable for:

  • Email delivery performance
  • Third-party service failures
  • Server downtime or infrastructure issues
  • Data loss or security incidents outside our control

To the maximum extent permitted by law, liability is limited to the amount paid for the service.

9. Support & Updates

Support and updates depend on the selected plan.

Nexum ehf. does not guarantee:

  • Continuous availability
  • Immediate response times (unless agreed separately)

10. Termination

The client may stop using the service at any time.

Since the system is installed on the client’s infrastructure:

  • The client retains access to their system and data

11. Changes to Terms

We may update these Terms from time to time.

Continued use of the service constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of Iceland.
